Job Description

Licensing & Regulatory

Draft, and review, travel supplier contracts, including agreements with airlines, cruise lines, tour operators, hotel partners, consolidators, and other industry suppliers, ensuring proper risk allocation, service-level commitments, and regulatory compliance.

Monitor, identify, and address issues related to travel agent fraud, including suspicious booking activity, unauthorized use of agency credentials, chargeback-prone transactions, and fraud-prevention best practices; collaborate with Risk/Finance teams to strengthen safeguards.

Reinforce company-wide compliance programs, ensuring adherence to federal and state travel regulations, consumer protection laws, industry disclosure requirements, and advertising rules.

Advise internal teams on necessary disclosures, terms & conditions, cancellation/refund policies, and other industry-specific compliance obligations.

Mergers & Acquisitions (Buying Companies)

· Lead or support the legal workstream for buy-side acquisitions, strategic investments, and joint ventures.

· Draft, review, and negotiate NDAs, LOIs/term sheets, asset and stock purchase agreements, and related ancillary documents.

· Oversee due diligence (corporate, operational, IP, employment, privacy, real estate, and compliance) and coordinate with outside counsel and advisors.

· Manage closing checklists, approvals, conditions precedent, disclosure schedules, and post-closing integration support.

Real Estate

· Draft, negotiate, and manage commercial leases, lease amendments, SNDAs, estoppels, assignments, purchase and sale agreements, and related closing documents.

· Advise on title, survey, zoning, easements, and landlord/tenant issues; coordinate with brokers, title companies, and local counsel.

· Support site selection and portfolio management for offices, warehouses, retail locations, and special-use facilities.

Supplier & Commercial Contracts

· Draft, review, and negotiate a wide range of supplier, vendor, and partner agreements, including MSAs, SOWs, distribution, procurement, logistics, SaaS/tech, data processing, and professional services agreements.

· Implement and maintain contract templates, playbooks, and fallback positions; improve contract lifecycle processes and contract management system governance.

· Ensure appropriate risk allocation (indemnities, limitations of liability, warranties, service levels, data security, IP ownership, audit rights, termination, and compliance clauses).

General Corporate & Compliance

· Provide guidance on corporate governance, entity formation/maintenance, and board approvals.

· Support contract law matters across the organization with a focus on operational enablement and risk management.

· Collaborate with Finance, Operations, Real Estate, Procurement, HR, IT/Security, and Sales to align legal strategy with business objectives.

· Manage outside counsel, budgets, and matter tracking; contribute to legal operations improvements.

Required Qualifications

· J.D. from an accredited law school and active membership in at least one U.S. state bar (in good standing).

· Working knowledge of licensing and regulatory frameworks relevant to the business; experience with travel supplier contracts, travel agent fraud, and compliance inforcement. .

· 5-10+ years of relevant experience in corporate transactions, with substantial buy-side M&A exposure (in-house and/or at a nationally recognized law firm).

· Demonstrated experience with commercial real estate (leases and acquisitions) and supplier/commercial contracts.

· Strong command of contract law, risk allocation, and negotiation strategy.

· Excellent drafting skills, attention to detail, and the ability to translate legal risk into actionable business advice.

· High ownership, strong judgment, and the ability to manage multiple priorities with deadlines.

Preferred Qualifications

· Prior in-house experience at a multi-location, travel company.

· Hands-on experience with Independent Contractor and Travel Law.

· Familiarity with privacy/data protection (e.g., DPA/DPIA negotiation) and information security requirements in supplier contracts.

· Experience implementing or optimizing contract lifecycle management (CLM) tools and legal operations processes.

· Experience coordinating multi-state real estate portfolios and related compliance.
